Nexileap operates a service, which we make available through an application available for download on your mobile device or desktop (the "Voiskey"), that allows users to input text through voice, and to use AI-powered features to help polish and improve their messages (the "Service").

The Service is provided by NEXILEAP PRIVATE LIMITED ("Nexileap", the "Company," "we," or "us"). Nexileap is a company registered in Singapore, with its address at 3 TEMASEK AVENUE #27-02 CENTENNIAL TOWER Singapore, SG 039190.

This document and any documents referred to within it (collectively, the "Terms of Use") explains the terms on which you may use the Service.

Please read these Terms of Use carefully to ensure that you understand them before you use the Service.

By accessing or using the Service, you signify that you have read and understood these Terms of Use. If you do not agree to these Terms of Use, please do not use the Service.

Your privacy is important to us. Please read our Privacy Policy to understand how we collect, use and share information about you.

Voiskey is a service that allows you to input text through voice on your mobile device or desktop, and to use AI-powered features to help polish and improve your text.

To access the Service, you must download the Voiskey App on your mobile device or desktop, and set up an account using your Google or Apple ID (your "Account").

To use the Service, you must be at least 13 years old if you reside in the United States, or at least 16 years old if you reside elsewhere. If you are under 18 years old, you may need to obtain consent from your parents or guardians depending on where you reside.

You may connect to the Service with a third-party service (e.g. Google or Apple) and you give us permission to access and use your information from that service as permitted by that service and as set out in our Privacy Policy.

You are responsible for maintaining the confidentiality of your login details and any activities that occur under your Account. If you have any concerns that your Account may have been misused, you should contact us at official@voiskey.ai straight away to let us know.

You are responsible for confirming that the AI services provided by our third party service providers are supported in the country you are located in and allowed by the laws of that country before using such services. By using our AI-powered features, you are giving us your consent to share your content necessary for such services with the relevant third party service provider.

The AI-powered features of Voiskey are provided for assistance purposes only. We make no representations or warranties regarding the accuracy, completeness, or suitability of any AI-generated output. You should not rely on any AI-generated output without independently verifying its accuracy. Output may contain errors or inaccuracies even when it appears detailed or specific.

We do not use your voice input or any other content you submit through the Service to train AI models without your explicit consent.

The materials and content comprising the Service belong to us or our third party licensors, and we give you permission to use these materials and content for the sole purpose of using the Service in accordance with these Terms of Service.

Your right to use the Service, and any content that we make available through the Service, is personal to you and you are not allowed to give this right to another person. Your right to use the Service does not stop us from giving other people the right to use the Service.

We allow you to download the Voiskey for use on your mobile device or desktop for the sole purpose of accessing and using the Service in accordance with these Terms of Use and we grant you a non-exclusive, personal, non-transferable license for this sole purpose.

Unless allowed by these Terms of Use and as permitted by the functionality of the Service, you agree:

• not to copy the Service, any portion of the Service or content available through the Service;
• not to give or sell or otherwise make available the Service, any portion of the Service or content available through the Service to anybody else;
• not to change the Service or any portion of the Service or content available through the Service in any way;
• not to look for or access the code of the Service or any portion of the Service that we have not expressly published publicly for general use.

You agree that all confidential information, copyright and other intellectual property rights in the Service belong to us or our third party licensors.

You agree that you have no rights in or to the Service other than the right to use them in accordance with these Terms of Use.

The following provisions apply to your use of Voiskey as distributed through the Apple App Store (including iOS and macOS versions).

You acknowledge and agree that the Terms of Use are solely between you and Nexileap, and not with Apple Inc. ("Apple"), and that Apple has no responsibility for the Voiskey or content thereof. Your use of the Voiskey must comply with the Apple provisions.

You acknowledge that Apple has no obligation whatsoever to furnish any maintenance and support services with respect to the Voiskey. In the event of any failure of the Voiskey to conform to any applicable warranty, you may notify Apple, and where applicable Apple will refund the purchase price for the Voiskey to you; to the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the Voiskey, and any other claims, losses, liabilities, damages, costs or expenses attributable to any failure to conform to any warranty will be solely governed by the Terms of Use and any law applicable to Nexileap as provider of the Voiskey.

You acknowledge that Apple is not responsible for addressing any claims of you or any third party relating to the Voiskey or your possession and/or use of the Voiskey, including, but not limited to: (i) product liability claims; (ii) any claim that the Web fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection or similar legislation; and all such claims are governed solely by the Terms of Use and any law applicable to Nexileap as provider of the software.

You acknowledge that, in the event of any third-party claim that the Voiskey or your possession and use of the Voiskey infringes that third party's intellectual property rights, Nexileap, not Apple, will be solely responsible for the investigation, defense, settlement and discharge of any such intellectual property infringement claim to the extent required by the Terms of Use.

You represent and warrant that (i) You are not located in a country that is subject to U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country; and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.

You and Nexileap acknowledge and agree that Apple, and Apple's subsidiaries, are third-party beneficiaries of the Terms of Use as relates to your license of the Voiskey, and that, upon your acceptance of the terms and conditions of the Terms of Use, Apple will have the right (and will be deemed to have accepted the right) to enforce the Terms of Use as relates to your license of the Voiskey against you as a third-party beneficiary thereof.

We do not charge you a fee to access the Service, and we provide a limited amount of free voice input usage per week at no charge; however, we may, from time to time, make certain premium content and premium features available through the Service, including unlimited voice input, access to better AI models, smart memory of your writing style, and early access to new features (the "VIP Features"). We will charge you a regular subscription fee (the "Subscription Fee") in respect of your use of the VIP Features.

When you subscribe to the VIP Features, you will need to select a monthly or annual subscription period (your "Subscription Period"). You authorize us to charge the applicable Subscription Fee to the Apple App Store or Google Play account linked to your device at the beginning of each Subscription Period. You confirm that you have the right to use the relevant account to make purchases on your device.

Your subscription to the applicable VIP Features will automatically renew at the end of each Subscription Period for a further Subscription Period, and we will charge you the applicable Subscription Fee for the next Subscription Period. If you do not want to renew your subscription to the VIP Features, you will need to tell us at least 24 hours before the end of the then-current Subscription Period (i.e. before your subscription renews). You can do this through the appropriate settings on your device, Apple App Store account or Google Play account, depending on the platform through which you subscribed.

Refunds will only be issued where required by applicable law or in accordance with the refund policy of your platform. Payments are processed by third-party payment processors, which may include Apple Inc., Google LLC or other processors depending on the platform and region through which you subscribed. Payment processing is subject to the terms and privacy policies of the respective payment processor. We encourage you to review the relevant policies before subscribing.

When using the Service, you must not:

• attempt to circumvent, disable, compromise or otherwise interfere with any security related features of the Service;
• permit another person to use the Service on your behalf unless such person is authorized by you;
• use the Service if we have suspended or banned you from using it;
• advocate, promote or engage in any illegal or unlawful conduct or conduct that causes damage or injury to any person or property;
• modify, interfere, intercept, disrupt or hack the Service;
• misuse the Service by knowingly introducing viruses, Trojans, worms, logic bombs or other material which would harm the Service or any user of the Service's own equipment;
• collect any data from the Service other than in accordance with these Terms of Use;
• submit or contribute any User Content that contains nudity or violence or is abusive, threatening, obscene, misleading, untrue or offensive;
• submit or contribute any User Content that you do not own or have the right to use or otherwise infringe the copyright, trademark or other rights of third parties;
• use any User Content in violation of any licensing terms specified by the owner;
• submit or contribute any information or commentary about another person without that person's permission;
• threaten, abuse or invade another's privacy, or cause annoyance, inconvenience or needless anxiety or be likely to harass, upset, embarrass, alarm or annoy any other person;
• use any automated system, including without limitation "robots", "spiders" or "offline readers" to access the Service in a manner that send more request messages to the Service than a human can reasonably produce in the same period of time;
• submit any information to AI services that contains personal information;
• use Voiskey in any application or situation where it is reasonably likely that failure could lead to the death or serious bodily injury of any person or to severe physical or environmental damage; or
• use Voiskey in a way that violates Applicable Laws, including:
  • Illegal activities, such as child pornography, gambling, piracy, or violating copyright, trademark, or other intellectual property laws;
  • Intending to exploit minors in any way;
  • Threatening, stalking, defaming, degrading, victimizing or intimidating anyone for any reason; or
  • Violating applicable privacy laws and regulations.

Failure to comply with the Rules of Acceptable Use constitutes a serious breach of these Terms of Use, and may result in our taking all or any of the following actions (with or without notice):

• immediate, temporary or permanent withdrawal of your right to use our Service;
• immediate, temporary or permanent removal of any User Content;
• issuing of a warning to you;
• legal action against you including proceedings for reimbursement of all costs (including, but not limited to, reasonable administrative and legal costs) resulting from the breach;
• disclosure of such information to law enforcement authorities as we reasonably feel is necessary.

The responses described in clause 8 are not limited, and we may take any other action we reasonably deem appropriate.

Any person may contact us by sending us an "Infringement Notice" if any content available through our Service infringes their rights or fails to comply with our Rules of Acceptable Use. The Infringement Notice should be sent by email to official@voiskey.ai. Please provide the following information in the Infringement Notice:

• your name and contact details;
• a statement explaining in sufficient detail why you consider that the content available through our Service infringes your rights or fails to comply with our Rules of Acceptable Use; and
• a link to or such other means of identifying the problematic content.

We will take the action that we believe is appropriate depending on the nature of the Infringement Notice and will aim to respond to you within a reasonable period of time on the action we propose to take.

If at any time you do not feel that you can agree to these Terms of Use or any changes made to the Terms of Use or the Service, you must immediately stop using the Service. If you have subscribed to any VIP Features, you will need to notify us that you wish to stop using the Service at least 24 hours before the end of the then-current Subscription Period (i.e. before your subscription to the VIP Features renews). You can do this through the appropriate settings on your device or your Apple App Store account or Google Play account, depending on the platform through which you subscribed.

We may immediately end your use of the Service if you break the Rules of Acceptable Use, any other important rule(s), or terms and conditions we set for accessing and using the Service including these Terms of Use.

We may also withdraw the Service as long as we give you reasonable notice that we plan to do this.

If you or we end your use of the Service or we withdraw the Service as described in this section, we may delete your User Content or any other information we hold about you. You will also lose any rights you have to use the Service or your User Content. We will not offer you compensation for any losses.

The termination of your use of the Service and shall not affect any of your obligations to pay any sums due to us.

Nothing in this clause 10 affects any legal rights you may have under the law of the country in which you are resident.

Unfortunately, due to the nature of the Internet and technology, the Service is provided on an "as available" and "as is" basis. This means that we are unable to promise that your use of the Service will be uninterrupted, without delays, error-free or meet your expectations and we do not give any commitment relating to the performance or availability of the Service in these Terms of Use and, to the extent we are able to do so, we exclude any commitments that may be implied by law.

In the event of a claim arising out of the provision of the Service, our responsibility to you will never be more than the amount you have paid us in the 12 months prior to the claim arising and, in the event that you have not paid us any money, we shall have no responsibility whatsoever to you.

In every case, we will never be responsible for any loss or damage that is not reasonably foreseeable.

The above does not affect your rights under the applicable law of the country in which you are resident, including our responsibility to you for any personal injury or death caused by our negligence.

To the maximum extent permitted by applicable law, you agree to indemnify and hold harmless Nexileap and its officers, directors, employees, and agents from and against all damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from or relating to: (a) your breach of these Terms of Use; (b) your use of the Service; or (c) your violation of any applicable law or regulation.

If you have a dispute with us relating to the Service, in the first instance please contact us at official@voiskey.ai and attempt to resolve the dispute with us informally.

In the unlikely event that we have not been able to resolve a dispute informally, we will discuss and agree with you the most effective way of resolving our dispute.

We are constantly updating and improving the Service to try and find ways to provide you with new and innovative features and services. Improvements and updates are also made to reflect changing technologies, tastes, behaviors and the way people use the Internet and our Service.

In order to do this, we may need to update, reset, stop offering and/or supporting a particular part of the Service, or feature relating to the Service ("changes to the Service"). These changes to the Service may affect your past activities on the Service, features that you use and your User Content ("Service elements"). Any changes to the Service could involve your Service elements being deleted or reset.

You agree that a key characteristic of our Service is that changes to the Service will take place over time and this is an important basis on which we grant you access to the Service. Once we have made changes to the Service, your continued use of the Service will show that you have accepted any changes to the Service. You are always free to stop using the Service.

The Service may display or contain links to third party software or other materials created by other parties ("Third Party Content"). Your use of this Third Party Content may be subject to additional terms and conditions imposed by that third party.

We may revise these Terms of Use from time to time but the most current version will always be available within the Voiskey app and on our official website.

Changes will usually occur because of new features being added to the Service, changes in the law or where we need to clarify our position on something.

Normally, we will try to give you some warning before the new terms become effective. However, sometimes changes will need to be made immediately and if this happens we will not give you any notice.

The current version of the Terms of Use contains the only terms and conditions that apply to our relationship with you.

We intend to rely on these Terms of Use as setting out the written terms of our agreement with you for the provision of the Service. If part of the Terms of Use cannot be enforced then the remainder of the Terms of Use will still apply to our relationship.

If you do not comply with these Terms of Use and we do not take action immediately, this does not mean we have given up any right we have and we may still take action in the future.

English law will apply to all disputes and the interpretation of these Terms of Use. The English courts will have non-exclusive jurisdiction over any dispute arising from or related to your use of the Service. This does not affect your rights under applicable consumer law in the country where you are resident, including your ability to bring a claim against us in the courts of that country.

If any provision of these Terms of Use is judged to be illegal or unenforceable, this will not affect the continuation in full force and effect of the remainder of the provisions.

We value hearing from our users, and are always interested in learning about ways we can improve the Service. By providing your feedback you agree that you are giving up any rights you have in your feedback so that we may use and allow others to use it without any restriction and without any payment to you.

Voiskey は、モバイルデバイスまたはデスクトップで音声によるテキスト入力を可能にし、AI 機能を使用してテキストコンテンツを磨き改善するサービスです。

サービスにアクセスするには、モバイルデバイスまたはデスクトップに Voiskey アプリをダウンロードし、Google または Apple ID でアカウント（「アカウント」）を作成する必要があります。

サービスを利用するには、米国在住の場合は13歳以上、その他の地域の場合は16歳以上である必要があります。18歳未満の場合、お住まいの地域の法律に基づき、保護者の同意が必要になる場合があります。

Google や Apple などのサードパーティサービスを通じてサービスに接続できます。お客様は、当該サードパーティサービスが許可する方法および当社のプライバシーポリシーに記載された方法で、お客様のサービスからの情報にアクセスし使用することを当社に許可するものとします。

お客様は、ログイン情報の機密性を維持し、アカウントで発生するすべてのアクティビティに対して責任を負います。アカウントの不正使用が懸念される場合は、official@voiskey.ai まで直ちにご連絡ください。

AI機能を使用する前に、当社の第三者サービスプロバイダーが提供するAIサービスがお客様の国または地域でサポートされており、現地の法令に準拠していることを確認する責任があります。AI機能を使用することにより、必要なコンテンツを関連する第三者サービスプロバイダーと共有することに同意するものとします。

Voiskey の AI 機能は参考用です。当社は、AI 生成コンテンツの正確性、完全性、適用性について一切の表明または保証を行いません。AI生成コンテンツを使用する前に、その正確性をご自身で確認してください。

お客様の明示的な同意なしに、サービスを通じて送信された音声入力やその他のコンテンツをAIモデルのトレーニングに使用することはありません。

サービスを構成する資料およびコンテンツは、当社または第三者ライセンサーが所有しています。当社は、本サービス利用規約に従ってサービスを利用する目的でのみ、これらの資料およびコンテンツを使用するライセンスをお客様に付与します。

サービスおよび当社がサービスを通じて提供するコンテンツを使用する権利は、お客様個人のみに限定されます。

当社は、お客様がモバイルデバイスまたはデスクトップに Voiskey をダウンロードし、本利用規約に従ってサービスにアクセスおよび使用するための非独占的、個人的、譲渡不可のライセンスを付与します。

本利用規約で許可されている場合およびサービス機能で許可されている場合を除き、お客様は以下に同意するものとします：

• サービス、サービスの一部、またはサービスを通じて提供されるコンテンツを複製しないこと
• サービスを他者に提供、販売、またはその他の方法で利用可能にしないこと
• サービスをいかなる方法でも変更しないこと
• 当社が一般使用のために公開していないコードを探索またはアクセスしないこと

以下の条件は、Apple App Store（iOS および macOS バージョンを含む）を通じて Voiskey をダウンロードして使用する場合に適用されます。

お客様は、本利用規約がお客様と Nexileap との間でのみ締結され、Apple Inc.（「Apple」）との間で締結されたものではなく、Apple が Voiskey またはそのコンテンツに対していかなる責任も負わないことを確認し、同意するものとします。

当社はサービスへのアクセスに対して料金を請求せず、毎週一定量の無料音声入力使用量をユーザーに提供します。ただし、無制限の音声入力、より高品質なAIモデル、スマートライティングスタイルメモリー、新機能への早期アクセスなど、プレミアムコンテンツおよび機能（「VIP機能」）を提供する場合があります。VIP機能の使用に対しては、定期的なサブスクリプション料金（「サブスクリプション料金」）を請求します。

VIP機能をサブスクライブする際は、月額または年額のサブスクリプション期間（「サブスクリプション期間」）を選択する必要があります。

お客様のVIP機能のサブスクリプションは、各サブスクリプション期間の終了時に自動的に更新されます。更新を希望しない場合は、現在のサブスクリプション期間終了の少なくとも24時間前にお知らせください。

返金は、適用法で要求される場合、またはご利用のプラットフォームの返金ポリシーに基づく場合にのみ処理されます。

サービスの利用にあたり、お客様は以下の行為を行ってはなりません：

• サービスのセキュリティ関連機能を回避、無効化、破壊、またはその他の方法で妨害すること
• 許可なく他者にサービスを代理使用させること
• 当社がサービスの利用を停止または禁止している場合にサービスを使用し続けること
• 違法行為を奨励、促進、または従事すること
• サービスを改変、妨害、傍受、破壊、またはハッキングすること
• ウイルス、トロイの木馬、ワーム、ロジックボムなどの有害な素材を故意に導入すること
• AI サービスに個人情報を含む情報を送信すること
• 適用法に違反する方法で Voiskey を使用すること

当社のサービスを通じて提供されるコンテンツが自身の権利を侵害していると考える方は、「侵害通知」を当社に送信して連絡することができます。侵害通知は official@voiskey.ai 宛てにメールで送信してください。

本利用規約またはサービスの変更に同意できないと判断された場合は、直ちにサービスの利用を停止してください。

「利用規則」または当社が設定する条件に違反した場合、当社はお客様のサービス利用を直ちに終了させることがあります。

インターネットおよび技術の性質上、サービスは「現状有姿」で提供されます。これは、サービスの利用が中断なく、遅延なく、エラーなく行われることを保証できないことを意味します。

サービスの提供に関して請求が発生した場合、当社のお客様に対する責任は、請求発生前12ヶ月間にお客様が当社に支払った金額を超えることはありません。

適用法で許可される最大限の範囲において、お客様は以下の場合について Nexileap およびその役員、取締役、従業員、代理人を補償することに同意するものとします：(a) 本利用規約への違反、(b) サービスの利用、(c) 適用法への違反。

サービスに関して当社との間に紛争が生じた場合は、まず official@voiskey.ai にご連絡いただき、非公式に解決を試みてください。

当社はサービスを継続的に更新・改善し、新しく革新的な機能やサービスを提供する方法を常に模索しています。

そのため、サービスの特定の部分または関連機能を更新、リセット、提供停止する必要がある場合があります（「サービス変更」）。

サービスには、他の当事者が作成したサードパーティソフトウェアへのリンクまたはその他の素材（「サードパーティコンテンツ」）が表示または含まれる場合があります。

当社は本利用規約を随時改訂することがありますが、最新版は常に Voiskey アプリまたは当社の公式ウェブサイトに掲載されます。

本利用規約の現行版は、当社とお客様の間の関係に適用される唯一の条件を含みます。

英国法がすべての紛争および本利用規約の解釈に適用されます。英国の裁判所は、サービスの利用に起因または関連する紛争について非専属管轄権を有します。

本利用規約のいずれかの条項が違法または執行不能と判断された場合でも、残りの条項は引き続き完全に有効であるものとします。
